Welcome to Qymera. These Terms of Service (“Terms”) govern your use of our websites, products, and services (collectively, the “Services”). By engaging Qymera, you agree to these Terms. Please read them carefully.

1. About Qymera

Qymera provides digital solutions for small and mid-sized businesses, including:

• Web Development – Bilingual websites, e-commerce, and custom builds.
• Collateral Design – Logos, business cards, brochures, and branding kits.
• Hosting Services – Managed hosting, domains, and security (where applicable).
• Cloud Solutions – AWS-powered integrations, automations, and scaling systems.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age.
• Have the legal authority to enter into binding contracts.
• Provide accurate and complete information during onboarding.

3. Scope of Services

Qymera provides Services based on agreed packages, proposals, or written agreements. Any additional work outside the original scope will be billed separately at agreed rates.

4. Client Responsibilities

You agree to:

• Provide necessary content, assets, and approvals in a timely manner.
• Ensure that all content you supply does not infringe on intellectual property or applicable laws.
• Maintain valid payment methods for invoices and subscriptions.
• Follow any technical requirements necessary for hosting or cloud services.

5. Payments & Billing

• All fees are listed in Japanese Yen (JPY) unless otherwise specified.
• Project fees are invoiced according to the agreed payment schedule (e.g., deposit + final payment).
• Ongoing services (e.g., hosting, support, maintenance) are billed monthly or annually.
• Late payments may result in suspension of Services until payment is received.

6. Intellectual Property

• Client Content – You retain ownership of all content you provide (text, images, logos, data).
• Deliverables – Upon full payment, you own the final designs, websites, or assets created for you, except for third-party tools, plugins, or software licenses.
• Qymera Materials – Qymera retains ownership of all pre-existing frameworks, templates, processes, and proprietary tools.

7. Hosting & Cloud Services

If you purchase Hosting or Cloud Services:

• Qymera will manage servers, domains, and security as outlined in your plan.
• You are responsible for keeping login credentials secure.
• Uptime and performance are subject to reasonable industry standards but are not guaranteed to be 100% uninterrupted.
• Qymera is not liable for downtime caused by third-party providers (e.g., AWS, domain registrars).

8. Confidentiality

Both Qymera and the client agree to keep confidential any non-public information shared during the course of Services, including business data, pricing, or technical details.

9. Limitation of Liability

To the maximum extent permitted by law:

• Qymera is not liable for indirect, incidental, or consequential damages.
• Qymera’s total liability is limited to the amount paid by you for the Services during the 3 months preceding the claim.
• You are responsible for backing up your data and maintaining compliance with your industry regulations.

10. Termination

Either party may terminate Services with written notice if the other party materially breaches these Terms and fails to remedy within 14 days.

• Termination does not relieve you of payment obligations for completed work.
• Qymera may terminate hosting or ongoing services immediately for non-payment, illegal activity, or misuse.

11. Amendments

Qymera may update these Terms from time to time. Updates will be posted on our website with the effective date. Continued use of Services constitutes acceptance of updated Terms.

12. Governing Law

These Terms are governed by the laws of Japan. Any disputes will be subject to the exclusive jurisdiction of the Tokyo District Court.
